Terms of Use and Seller Terms

These terms are an agreement between you and WeldonPC, 5829 Turney Road, Garfield Heights, OH 44125 ("WeldonPC", "we"), which operates offlease.tech (the "Site"). By using the Site you accept them. If you use the Site for an organization, you accept them for that organization and confirm you are authorized to do so.

1. The Site is a venue only

offlease.tech is a listing venue. Sellers publish listings; buyers contact sellers; any sale is made directly between buyer and seller. WeldonPC is not a party to any sale and is not a seller, buyer, broker, agent, auctioneer, escrow agent, carrier, warehouse, inspector or guarantor. WeldonPC never takes possession of, title to, or responsibility for any equipment, and never receives or holds any buyer's money. WeldonPC does not inspect, test or verify equipment, listings, sellers' statements, buyers, or the outcome of any transaction, and does not mediate disputes.

2. Accounts

• Seller accounts are for organizations (companies, government agencies, educational institutions and nonprofits), opened by an individual with a work email at the organization's own domain. The organization's domain must be verified before a listing is published.
• You must be at least 18 and able to enter contracts. Keep access to your email account secure; anyone with it can sign in.
• We may refuse, suspend or close any account, and hide or remove any listing, at our discretion, including to comply with the law or to protect users.

3. Seller Terms

3.1 Your representations

Each time you submit, edit or renew a listing, you represent and warrant, for yourself and your organization, that:

1. your organization owns the listed items outright, or is authorized in writing by the owner to sell them;
2. any lease of the items has ended (by buyout, return to your organization, or otherwise), or the lessor has consented to the sale;
3. the items are free of liens, security interests and other claims, and you can transfer clear title to a buyer;
4. selling the items is lawful, including under export-control, sanctions, environmental, e-waste and battery-transport laws that apply to you or the sale;
5. the listing (description, condition, quantity, photos and price) is accurate and not misleading, and the asking price is a genuine price you will accept;
6. the items are not on the prohibited list; and
7. your statements about data storage and sanitization (section 3.2) are true.

3.2 Data sanitization (your responsibility)

You alone are responsible for removing all data from the items before they are listed and before they leave your control. Unless storage media are removed and not included, you will sanitize them using a method appropriate to the media and the data under NIST SP 800-88 Rev. 2, Guidelines for Media Sanitization (September 2025) (Clear, Purge or Destroy) or a stricter policy of your own, and state the method in the listing. You will also remove asset tags and labels that identify your organization or its people, device-management enrollments, activation locks, firmware passwords and signed-in accounts. WeldonPC does not check, certify or audit sanitization and is not affiliated with NIST. Any exposure of data from items you list is your responsibility.

3.3 Your sale

You deal with buyers directly. You are responsible for answering inquiries, agreeing price and terms, collecting payment, handing over or shipping the items, any warranty or returns you offer, invoices and records, and any taxes on the sale. Mark listings sold or delete them when the items are no longer available.

3.4 Listing fee

• The listing fee is 10% of the asking price multiplied by the quantity, with a minimum of $5 and a maximum of $500 per listing, as shown on the fee page when you pay. It is paid in advance through PayPal, after the listing is approved and before it goes live, and covers 60 days. A renewal is a new fee calculated the same way.
• The fee is for publishing the listing. It is not a commission, does not depend on whether or for how much the items sell, and buys no result.
• Fees are not refundable once a listing is live, including when items sell early or a listing is removed for breach of these terms. If we remove a live listing for a reason that is not your breach, we refund that listing's fee in full.
• After approval you may lower the price or quantity but not raise them; to list a higher total, create a new listing. Chargebacks and payment reversals may lead to the listing being hidden and the account being closed.

3.5 Licence to your content

You keep the rights in your listing text and photos and give WeldonPC a non-exclusive, royalty-free licence to host, display, reformat and share them (for example in search results and share images) to run and promote the Site, for as long as the listing is published and a reasonable time after.

4. Buyers

You are responsible for deciding whether to buy, for inspecting items, and for how you pay. Messages you send through the contact form, with your name and contact details, are passed to the seller so they can reply. Do not use the contact form to send marketing, spam or anything unlawful. 5. No warranty

THE SITE AND ALL LISTINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE". WELDONPC MAKES NO WARRANTY OF ANY KIND ABOUT ANY EQUIPMENT, LISTING, SELLER, BUYER OR TRANSACTION, AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. "Domain verified" means only what How it works says.

6. Limitation of liability

To the fullest extent permitted by law: (a) WeldonPC is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Site, any listing or any transaction; (b) WeldonPC is not liable for anything a buyer or seller does or fails to do, including non-payment, non-delivery, the condition or legality of equipment, data left on equipment, fraud, or injury; and (c) WeldonPC's total liability for all claims relating to the Site is limited to the listing fees the claimant paid WeldonPC for the listing concerned in the 12 months before the claim, which for a buyer is $0. Some jurisdictions do not allow certain limitations; in those, these limits apply as far as allowed.

7. Indemnity

Sellers and their organizations will defend, indemnify and hold harmless WeldonPC and its owner, employees and contractors from all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from their listings, their equipment, their statements under section 3, data on equipment they sold, their dealings with buyers, or their breach of these terms or the law. Any user will do the same for claims arising from their misuse of the Site.

8. Disputes between users

Disputes about a sale are between buyer and seller. To the extent permitted by law, you release WeldonPC from claims arising from disputes with other users.

9. Acceptable use

Do not scrape the Site in bulk, attempt to break its security, list prohibited items, post false listings, use another organization's identity, or use inquiries to harass or defraud anyone. You can report listings from their pages.

10. Changes and termination

We may change these terms by posting a new version with a new date; changes apply to listings submitted, renewed or paid after the change. You may stop using the Site and delete your listings at any time. Sections 3.2, 5, 6, 7 and 8 survive.

11. Law and venue

These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Courts located in Cuyahoga County, Ohio have exclusive jurisdiction, and you consent to them.
